    1. Introduction

    Welcome to Sunehla Deal ("Company", "We", "Us", or "Our").

    These Terms and Conditions ("Terms") govern your access to and use of b2b.sunehladeal.com, our products, services, quotations, and all commercial transactions with M/s SUNEHLA DEAL, a sole proprietorship concern represented by its Sole Proprietor, Mr. MD SHAHJAHAN.

    By accessing our website, requesting a quotation, placing an order, or otherwise engaging with our business, you acknowledge that you have read, understood, and agree to be legally bound by these Terms.

    2. Scope of Business

    Sunehla Deal operates as a manufacturer, exporter, supplier, and trading enterprise specializing in apparel and fashion accessories.

    Our services include, but are not limited to:

    • Ready Stock Wholesale Supply

    • Custom Manufacturing

    • OEM (Original Equipment Manufacturing)

    • ODM (Original Design Manufacturing)

    • Private Label Manufacturing

    • Export Supply

    • Bulk Corporate Orders

    • Distributor Supply

    • Custom Packaging

    • Product Development

    2. Products may include apparel, garments, handbags, potli bags, clutch bags, fashion accessories, and other related products.

    3. Quotations & Pricing

    3.1 Quotation Validity

    Unless otherwise stated in writing, all quotations remain valid for ten (10) calendar days from the date of issue.

    After expiry, prices may be revised without prior notice.

    3.2 Prices

    Unless specifically agreed otherwise:

    • Prices are exclusive of applicable taxes.

    • Freight charges are extra.

    • Packaging charges may apply.

    • Customs duties are excluded.

    • Import taxes are excluded.

    • Destination VAT/GST is excluded.

    • Banking charges are excluded unless specifically mentioned.


    3. 3.3 Price Revision

    Prices may change due to fluctuations in:

    • Raw material costs

    • Foreign exchange rates

    • Government duties

    • Freight charges

    • Manufacturing costs

    4. Orders already accepted by us will not be affected unless mutually agreed.

    4. Minimum Order Quantity (MOQ)

    Minimum Order Quantities vary by product and manufacturing process.

    The applicable MOQ shall be specified in the quotation or purchase confirmation.

    Orders below the applicable MOQ may:

    • Be declined;

    • Attract a small-order surcharge; or

    • Be accepted only upon mutual agreement.


    5. 5. Orders & Payment Terms

    5.1 Order Acceptance

    A purchase order shall be deemed accepted only after written confirmation from Sunehla Deal.

    We reserve the right to reject any order without assigning reasons.

    5.2 Ready Stock Orders

    Unless otherwise agreed:

    • Payment may be made in advance or as mutually agreed.

    • Dispatch begins only after payment confirmation where advance payment is required.


    6. 5.3 Custom Manufacturing / OEM / ODM Orders

    Production will commence only after:

    • Receipt of the agreed advance payment (normally 50% of the order value unless otherwise agreed);

    • Approval of samples;

    • Approval of artwork;

    • Approval of technical specifications;

    • Approval of packaging details.


    7. 5.4 Balance Payment

    Unless otherwise agreed in writing, the remaining balance shall be payable before dispatch of goods.

    Accepted payment methods may include:

    • IMPS

    • NEFT

    • RTGS

    • UPI

    • Bank Transfer

    • Letter of Credit (subject to prior approval)

    6. Order Cancellation & Modification

    Ready Stock Orders

    Orders may be cancelled before dispatch.

    After dispatch, cancellation shall not be accepted except where required by applicable law.

    Custom Manufacturing Orders

    Once production has commenced, no cancellation, modification, artwork revision, quantity reduction, or design change shall be accepted.

    Where cancellation is accepted before production begins, the advance payment may be retained to recover costs already incurred, including:

    • Sampling

    • Material procurement

    • Design development

    • Administrative expenses


    9. 7. Production & Delivery

    All delivery dates provided by Sunehla Deal are estimates only.

    Manufacturing schedules depend upon:

    • Material availability

    • Production capacity

    • Buyer approvals

    • Transportation

    • Customs clearance

    • Government regulations

    • Public holidays

    • Force Majeure events

    10. Time shall not be deemed to be of the essence unless expressly agreed in writing.

    8. Force Majeure

    Sunehla Deal shall not be liable for delays or failure to perform caused by events beyond its reasonable control, including:

    • Natural disasters

    • Floods

    • Earthquakes

    • Fire

    • War

    • Terrorism

    • Pandemic

    • Epidemic

    • Government restrictions

    • Export or import bans

    • Labor disputes

    • Power shortages

    • Transportation disruptions

    • Port congestion

    • Customs delays

    • Carrier delays

    11. Performance obligations shall remain suspended during the continuance of such events.

    9. Manufacturing Standards & Product Variations

    Our products are manufactured in accordance with commercially accepted industry practices.

    The Buyer acknowledges that reasonable manufacturing variations do not constitute defects.

    These include:

    • Minor color variations

    • Dye lot variations

    • Fabric texture variations

    • Measurement tolerance of approximately ±3%

    • Minor embroidery variations

    • Handcrafted bead placement variations

    • Minor finishing variations

    12. Product photographs, digital renderings, and catalogs are for illustrative purposes only.

    Actual products may vary slightly due to lighting, screen settings, handmade workmanship, or production processes.

    10. Customer Intellectual Property

    Where customers provide:

    • Logos

    • Brand names

    • Artwork

    • Packaging

    • Labels

    • Technical drawings

    • Designs

    • Trademarks

    13. the Buyer warrants that it possesses all necessary ownership rights, permissions, licenses, or authorizations.

    The Buyer agrees to indemnify and hold harmless Sunehla Deal against any claims arising from infringement of third-party intellectual property.

    Sunehla Deal respects customer confidentiality and shall not intentionally disclose proprietary designs to third parties except where required for manufacturing, legal compliance, or with the Buyer's authorization.

    11. Shipping & Transfer of Risk

    Domestic Orders

    Unless otherwise agreed, domestic shipments are dispatched from our warehouse.

    Risk transfers to the Buyer once the goods are handed over to the transport carrier.

    International Orders

    International shipments may be supplied under mutually agreed Incoterms® 2020.

    Depending upon the agreed commercial terms, risk shall transfer in accordance with the applicable Incoterm.

    Unless specifically agreed otherwise:

    • Sea shipments may be supplied under FOB.

    • Air or courier shipments may be supplied under FCA.


    14. Export Documentation

    We shall provide standard export documentation including:

    • Commercial Invoice

    • Packing List

    • Shipping Bill

    15. Additional documentation requested by the Buyer or destination authorities may be chargeable.

    12. Import Duties & Local Compliance

    The Buyer shall be solely responsible for:

    • Import licenses

    • Customs clearance

    • Import duties

    • VAT/GST

    • Local taxes

    • Port charges

    • Demurrage

    • Destination compliance requirements

    16. Sunehla Deal shall not be responsible for delays or losses arising from destination country regulations.

    13. Inspection, Claims & Quality Issues

    Buyers are encouraged to inspect goods before shipment wherever practical.

    Claims relating to:

    • Manufacturing defects

    • Incorrect quantity

    • Wrong products

    • Transit shortages

    17. must be reported within seven (7) calendar days of delivery.

    To facilitate investigation, buyers are strongly encouraged to provide:

    • Photographs;

    • Videos; and

    • An uninterrupted unpacking video showing the opening of the original package.

    18. Failure to provide supporting evidence may affect our ability to verify and process the claim.

    Approved claims may be resolved by repair, replacement, credit note, or refund, at our discretion and subject to the circumstances of the claim.

    14. Returns & Refunds

    Returns and refunds shall be governed by our separate Refund Policy, which forms an integral part of these Terms.

    Custom-manufactured products, OEM products, ODM products, personalized products, and private label products are generally non-returnable unless otherwise agreed in writing or required by applicable law.

    15. Limitation of Liability

    To the fullest extent permitted by applicable law, Sunehla Deal shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including but not limited to:

    • Loss of profits;

    • Loss of business;

    • Loss of goodwill;

    • Production downtime;

    • Loss of contracts; or

    • Loss of anticipated savings.

    19. Our aggregate liability arising from any transaction shall not exceed the amount actually paid by the Buyer for the affected order.

    Nothing in these Terms limits any liability that cannot legally be excluded under applicable law.

    16. Privacy

    All personal information collected through our website or business operations shall be processed in accordance with our Privacy Policy.

    17. Governing Law & Jurisdiction

    These Terms shall be governed by and construed in accordance with the laws of the Republic of India.

    The courts located in New Delhi, Delhi, India shall have exclusive jurisdiction over all disputes arising from these Terms, subject to applicable law.

    18. Amendments

    We reserve the right to modify these Terms at any time.

    Updated Terms shall become effective upon publication on our website unless otherwise stated.

    Continued use of our website or services after such publication constitutes acceptance of the revised Terms.
